Dongguan Worldmile Watch Tools Co., Ltd. — Please read these terms carefully before placing an order or entering into a cooperation agreement with us.

Section One

COOPERATION SCOPE

These Terms of Service ("Terms") govern all commercial cooperation between Dongguan Worldmile Watch Tools Co., Ltd. ("Worldmile," "we," or "the Company") and any individual, enterprise, or organization ("Customer" or "you") that purchases, orders, or inquires about our products or services.

The scope of cooperation covered by these Terms includes, but is not limited to:

Standard Products

Purchase of Worldmile's standard watch tool product line for wholesale, retail, or distribution purposes.

OEM Services

Manufacturing of watch tools under the customer's brand, logo, or packaging specifications.

ODM Services

Original design and manufacturing of custom watch tools based on customer-defined requirements and specifications.

Sampling & Prototyping

Development of product samples or prototypes prior to bulk production, subject to the customization process outlined in Section 03.

By submitting an inquiry, placing a purchase order, or signing a cooperation agreement with Worldmile, the Customer acknowledges having read, understood, and agreed to be bound by these Terms in their entirety. These Terms constitute the complete agreement between the parties with respect to the subject matter herein, unless a separate written contract is executed and signed by both parties.

Minimum Order Quantity (MOQ)

The minimum order quantity for standard bulk production orders is 1,000 units per SKU. Orders below this threshold may be subject to a small-order surcharge or may not be accepted. Please contact our sales team to discuss specific requirements.

Sample Lead Time

Samples are typically completed within 7-10 business days after receipt of the customer's specifications, drawings, or reference samples, and after confirmation of the sampling fee. Actual lead time may vary depending on product complexity and current production schedule.

Bulk Production Lead Time

Upon formal commencement of bulk production -- defined as the date on which the production deposit is received and the sample has been approved -- the estimated delivery period is 30-45 calendar days. This timeline is subject to order volume, product specifications, and factory scheduling at the time of order confirmation.

Order Confirmation

An order is considered confirmed only upon written acknowledgment from Worldmile and receipt of the applicable deposit or payment as stipulated. Verbal or informal communications do not constitute a binding order. Worldmile reserves the right to decline any order at its sole discretion prior to issuance of a written order confirmation.

Order Modification or Cancellation

Requests to modify or cancel a confirmed order must be submitted in writing as early as possible. Modifications or cancellations after production has commenced may not be accepted, or may result in forfeiture of the deposit and/or additional charges to cover costs already incurred.

CUSTOMIZATION TERMS

Customer Submission

To initiate a customization project, the Customer shall provide a physical sample, technical drawing, or detailed product specification. Worldmile will review the provided materials and issue a formal quotation including unit price, tooling costs (if applicable), and estimated lead time.

Deposit & Sampling Fee

Upon acceptance of the quotation, the Customer shall pay either a 30% deposit of the total order value or a pre-agreed sampling fee before sample production commences. The sampling fee may be credited against the final order value upon confirmation of bulk production, subject to mutual agreement.

Sample Confirmation & Production

Worldmile will produce and deliver samples for the Customer's review. Bulk production will only be scheduled after the Customer has provided written confirmation of sample approval. Any revisions requested after sample approval that alter the original specifications may result in additional charges and lead time adjustments.

Balance Payment Prior to Delivery

The remaining balance of the total order value must be paid in full before goods are released for shipment. Worldmile will issue an invoice and payment instructions upon completion of production. Shipment will be arranged only after full payment is confirmed.

ODM Projects -- Negotiated Terms

For ODM projects -- where Worldmile participates in product design and development based on the Customer's functional or aesthetic requirements -- all specific terms including design fees, intellectual property ownership, tooling costs, revision rounds, and production pricing will be negotiated and agreed upon in a separate written agreement prior to project commencement. Please contact our team to discuss your ODM requirements.

Intellectual Property

The Customer warrants that any designs, drawings, trademarks, or specifications provided to Worldmile do not infringe upon the intellectual property rights of any third party. Worldmile shall not be held liable for any intellectual property disputes arising from manufacturing products based on Customer-supplied materials.

Section Four

QUALITY & AFTER-SALES

Our dedicated quality control team of 10 professional inspectors ensures every single product is checked and tested before leaving the factory -- no exceptions.

Pre-Shipment Inspection

Every product undergoes a comprehensive inspection and functional test by our professional quality control team prior to packaging and shipment. Inspections cover dimensional accuracy, surface finish, mechanical function, and compliance with agreed specifications or approved samples.

Third-Party Inspection

Worldmile welcomes and fully supports third-party quality inspections arranged by the Customer. Customers wishing to engage an independent inspection agency must notify Worldmile in advance so that appropriate arrangements can be made. All reasonable cooperation will be provided to facilitate such inspections.

Defect Claims

In the event that the Customer discovers quality defects upon receipt of goods, written notification with photographic or video evidence must be submitted to Worldmile within 7 calendar days of delivery. Claims submitted beyond this period may not be accepted. Worldmile will investigate all claims promptly and in good faith.

Remedies for Confirmed Defects

Where a quality defect is confirmed by Worldmile to be attributable to manufacturing error, Worldmile will, at its discretion and in consultation with the Customer, offer one or more of the following remedies: replacement of defective units, partial or full refund for affected goods, or a credit note applicable to future orders. The remedy offered will be proportional to the extent and nature of the defect.

Exclusions

Quality claims will not be accepted for defects arising from improper use, mishandling, unauthorized modifications, or normal wear and tear after delivery. Worldmile shall not be responsible for defects resulting from the Customer's own design specifications or materials supplied by the Customer.

Section Five

LIABILITY & DISPUTERESOLUTION

Breach of Contract

Customer Breach: If the Customer fails to make payment in accordance with the agreed schedule, cancels a confirmed order without valid cause, or otherwise materially breaches these Terms, Worldmile reserves the right to suspend production, withhold shipment, forfeit any deposit paid, and/or seek compensation for losses incurred as a result of the breach.

Worldmile Breach: If Worldmile fails to deliver goods within the agreed timeframe or delivers goods that materially deviate from the confirmed specifications due to reasons within Worldmile's control Worldmile shall notify the Customer promptly and work in good faith to resolve the issue. Remedies may include expedited production, partial refund, or other mutually agreed compensation, subject to the limitations set out below.

Limitation of Liability

To the maximum extent permitted by applicable law, Worldmile's total liability to the Customer under or in connection with any order shall not exceed the total amount paid by the Customer for the specific order giving rise to the claim. Worldmile shall not be liable for any indirect, consequential, incidental, or punitive damages, including but not limited to loss of profit, loss of business opportunity, or reputational harm.

Force Majeure

Neither party shall be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemic or epidemic events, strikes, transportation disruptions, or raw material shortages. The affected party shall notify the other party promptly and make reasonable efforts to resume performance as soon as practicable.

Dispute Resolution -- Negotiation First

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any order placed hereunder, both parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by submitting a written notice describing the nature of the dispute and the remedy sought. Both parties shall engage in discussions within 14 calendar days of such notice.

Arbitration or Litigation

If the dispute cannot be resolved through negotiation within a reasonable period, either party may submit the dispute to the competent people's court in Dongguan, Guangdong Province, China, or to an arbitration body mutually agreed upon by both parties. The governing law for all matters arising from these Terms shall be the laws of the People's Republic of China.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Amendments

Worldmile reserves the right to update or amend these Terms at any time. Updated Terms will be published on our official website and will take effect upon publication. Continued cooperation after the publication of updated Terms constitutes acceptance of the revised Terms.
